VERSION 1 · OCTOBER 11, 2026 · PRIOR VERSION

Terms of Service

These terms apply to every Corbel Order Form signed with Aisle Technologies, Inc. d/b/a Corbel (“Corbel” or “Provider”). They incorporate the Common Paper Cloud Service Standard Terms Version 2.0 (the “Standard Terms”). The Order Form and this page together are the Cover Page under the Standard Terms. If there is any inconsistency, the Order Form controls, then this page, then the Standard Terms.

Cloud Service

Corbel, a cloud service that carries out engineering work for Customer’s team. The Order Date is the date of the last signature on the Order Form, and the Effective Date is the same date. The Subscription Period, Fees, Seats, Pilot Period and Payment Process are set out in the Order Form.

Seats and use

A Seat is one named individual at Customer authorized to use the Cloud Service. Customer may reassign a Seat to a different individual at any time, and may add Seats at any time at the same rate. Each Seat includes unlimited use of the Cloud Service, with no usage, overage, or per-task fees.

Customer owns the work product the Cloud Service generates for it and may use it anywhere in its business.

Professional responsibility

Work produced by the Cloud Service is preliminary. Customer’s licensed professionals are responsible for reviewing and approving it before it is issued or relied on, and for any seal or signature applied to it. Corbel does not seal or sign any work.

Customer Content

Section 1.6 (Machine Learning) of the Standard Terms applies only to Usage Data. Provider will not use Customer Content to develop, train, or enhance artificial intelligence or machine learning models.

Pilot

If the Order Form includes a Pilot Period, the Subscription Period starts automatically at the end of it. Either party may terminate the Order Form at any time before the end of the Pilot Period, for any or no reason, by giving notice to the other party. For claims arising during the Pilot Period, the General Cap Amount is the amount of the Pilot Period fee.

Renewal

The Non-Renewal Notice Date is at least 60 days before the end of the current Subscription Period. At least 60 days before the end of a Subscription Period, Provider may propose revised pricing for the following period. If the parties do not agree in writing before the Non-Renewal Notice Date, either party may decline renewal.

Technical Support

Provider will give Customer a shared messaging channel and email support, and will use reasonable efforts to respond to support requests within one business day.

Professional Services

Provider will provide onboarding, configuration, and training for Customer’s team, at no charge for the Pilot Period and the initial Subscription Period. Customer will reasonably cooperate with Provider to allow the performance of these services, including providing Customer Content as needed. Provider is not responsible for any inability to perform these services if Customer does not cooperate as reasonably requested.

Governing Law and Chosen Courts

The laws of the State of Delaware, United States. The courts (whether state, federal, or otherwise) located in the State of Delaware, United States.

Customer Covered Claims: any action, proceeding, or claim that (1) the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights; or (2) results from Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer).

Security Policy

Provider will use commercially reasonable efforts to secure the Cloud Service from unauthorized access, alteration, or use and other unlawful tampering.
